Enness was approached by a UK national seeking to raise liquidity against a significant holding in a European venture-backed private company. The client was looking to purchase a property, but a substantial proportion of their wealth was concentrated in shares in the business and was therefore not readily accessible without a liquidity event.

The client wanted to explore a financing solution that would allow them to access capital without selling their shares or pledging other assets. In particular, they required a non-recourse structure secured against the private company shares alone.

This presented a significant challenge. Traditional lenders rarely provide finance secured solely against unlisted private company shares, particularly where the borrower is not willing to provide additional security or a personal guarantee. The specialist nature of the underlying asset and the limited liquidity of private shares meant that a lender with an appetite for this type of transaction was required.

Enness approached specialist lenders with experience in unlisted stock lending and identified a lender willing to assess the underlying business, its venture capital backing and the value of the client's shareholding. We secured terms for a short-term facility of circa £20M+, structured against the private company shares and aligned with the client's requirements.

The solution provided the client with access to substantial liquidity while allowing them to retain their shareholding and avoid pledging additional personal assets. This demonstrated the importance of identifying a lender able to assess the underlying strength and characteristics of a private company rather than relying solely on conventional lending criteria.
