  • Client: UK-based trading company
  • Loan Type: Secured loan to fund shareholder buyout
  • Loan Amount: Circa £1 million

An established UK trading company approached Enness seeking finance to facilitate a shareholder buyout. One of the company’s founders wished to fully exit, and the remaining directors were keen to acquire full ownership to retain control and streamline decision-making. The business required a secured funding solution that would allow capital to exit the company as part of the transaction while maintaining sufficient liquidity for ongoing operations.

At the time of application, the company was operating under financial pressure, with legacy borrowing and balance sheet strain reducing traditional lender appetite. Despite this, the business demonstrated strong trading potential and clear recovery prospects. The challenge was to identify a lender willing to accommodate a structure where part of the loan proceeds would be used for a shareholder payout rather than direct reinvestment.

Enness utilised its network of specialist commercial lenders to secure a facility of around £1 million, structured against company assets. The finance was designed to ensure affordability while preserving working capital post-transaction. Through strategic presentation of the company’s trading strength and exit plan, Enness was able to negotiate flexible terms that supported the directors in completing the buyout and stabilising the business.

Our ability to navigate complex financial situations and present a realistic, forward-looking case to lenders was key. With deep experience in arranging funding for businesses under pressure, we leveraged our network of specialist lenders willing to support companies with adverse financial profiles. We understand that shareholder transitions can be sensitive and time-critical, and our expertise allows us to structure bespoke funding solutions that preserve business continuity and protect long-term value.
